Confidentiality

This Confidentiality Agreement (the "Agreement") is entered into between the participants ("Participants") of the hackathon event ("Hackathon") organized by Wise Slice SRL (RO37687966), referred as Cluj Hackathon, and sets forth the terms and conditions governing the confidentiality of certain information disclosed during the Hackathon.

Definition of Confidential Information

Confidential Information refers to any non-public, proprietary, or confidential information disclosed by Cluj Hackathon, its affiliates, sponsors, or any other participating individuals or entities during the Hackathon. This includes, but is not limited to, ideas, concepts, inventions, trade secrets, software, designs, algorithms, business plans, financial information, and any other information marked or identified as confidential.

Obligations of Participants

Participants agree to:

1. Treat all Confidential Information received during the Hackathon as strictly confidential and not disclose, reproduce, or use such information for any purpose other than participating in the Hackathon.
2. Take reasonable measures to protect the Confidential Information from unauthorized access, use, or disclosure. Participants shall exercise the same degree of care to protect the Confidential Information as they would with their own confidential information.
3. Limit access to the Confidential Information to only those team members or individuals directly involved in the Hackathon, who have a need to know such information for the purposes of the Hackathon.

Exceptions to Confidentiality

Participants' obligations of confidentiality shall not apply to information that:

1. Was already known to the Participant at the time of its disclosure, as evidenced by written records.
2. Becomes publicly available without breach of this Agreement by the Participant.
3. Is lawfully obtained from a third party without any obligations of confidentiality.
4. Is independently developed by the Participant without reference to or use of the Confidential Information.
5. Is required to be disclosed by law, court order, or governmental or regulatory authority. In such cases, Participants shall promptly notify Cluj Hackathon to enable them to seek appropriate protective measures.

Intellectual Property Rights

Participants understand and agree that the Confidential Information disclosed during the Hackathon may be subject to intellectual property rights owned by Cluj Hackathon, its affiliates, or other third parties. Participants shall not acquire any rights, licenses, or ownership interests in the Confidential Information, except as expressly agreed upon in writing.

Return of Confidential Information

Upon completion of the Hackathon or upon request by Cluj Hackathon, Participants shall promptly return or destroy all tangible and electronic copies of the Confidential Information received during the Hackathon, including any notes or materials created based on such information.

Non-Solicitation

Participants agree not to directly or indirectly solicit or recruit any employees, contractors, or volunteers of Cluj Hackathon or its affiliates during the Hackathon or within a period of 6 months following the conclusion of the Hackathon, without the prior written consent of Cluj Hackathon.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Romania. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Romania.

By participating in the Hackathon, Participants acknowledge that they have read, understood, and agreed to be bound by the terms and conditions of this Confidentiality Agreement.
